A purchase order can record the product, quantity, price, and delivery date, and may form part of the parties’ contract. It usually does not deal adequately with specifications, inspection and rejection, delay, tooling, IP use, subcontracting, change control, or China-side dispute resolution. For repeat orders, custom products, molds, or meaningful advance payments, a manufacturing or supply agreement is usually the safer document. We can review the purchase order and related messages before confirming whether a fuller agreement is needed.

Possibly, but do not assume so. A quotation or pro forma invoice, together with emails, purchase orders, payment records, and performance, may evidence an agreement. The problem is that it often leaves the product standard, inspection, delivery, refund, liability, governing law, and dispute forum unclear. We review the whole document chain to assess what was agreed and what should be fixed before payment or production.
