What's included in a Risk Spotlight Report?

The Risk Spotlight Report (Tier 1, $400) identifies critical legal defects under PRC Civil Code and Contract Law: invalid governing law or jurisdiction clauses, missing or ambiguous CIETAC arbitration wording (post-2012 rules), liquidated damages above the 130% safe harbor (Civil Code Art. 585), undefined force majeure triggers, and counterparty identity mismatches with AIC registration. Delivered as a 3-5 page English memo in 3-5 business days, flagging each issue by severity. Does not include clause rewrites — that requires Tier 2 or Tier 3.

Can you review contracts not yet signed?

Yes — pre-signing is the ideal stage. PRC Civil Code Art. 136 treats a contract as formed upon mutual agreement, so once signed, your room to amend shrinks to whatever the Chinese side will renegotiate. Reviewing a draft lets us flag one-sided risk allocations, push back on unenforceable boilerplate, and ensure the Chinese version (if bilingual) says what the English version promises. Tier 1 pre-signing engagements finish in 3-5 days, giving you leverage during negotiation rather than damage control after.

Do you provide a redline or a memo?

It depends on the tier. Tier 1 Risk Spotlight Report delivers a written English memo only — issue-by-issue findings, no redline. Tier 2 Bilingual Review adds a Chinese-English comparison table highlighting translation divergences. Tier 3 Advanced Review ($1,600) produces a Word tracked-changes redline in both languages plus clause-by-clause annotations, ready to send back to the Chinese counterparty. Most foreign buyers negotiating a template contract choose Tier 3 because it's the only format the Chinese side will accept as a counter-proposal.

What if my contract is only in English?

That's common — we can review it, but English-only contracts involving a Chinese party carry enforcement risk: if a dispute reaches a Chinese court, the court appoints its own translator, and ambiguity tends to be resolved against the foreign party. For contracts over RMB 500,000 or where CIETAC arbitration is contemplated, we recommend upgrading to Tier 2 Bilingual Review to produce an authoritative Chinese version with a governing-language clause. Tier 1 is sufficient for internal review or low-exposure deals.
